Terms of Service

These Terms of Service ("Terms") govern your use of the Stipend platform operated by Stipend, Inc. ("Stipend," "we," "us"). By accessing or using Stipend, you agree to these Terms on behalf of the organization you represent ("Customer," "you").

1. Service Description

Stipend provides a platform for managing employee access to AI compute providers, including budget allocation, policy enforcement, usage tracking, and cost reporting. Stipend acts as a gateway and management layer — we do not provide the underlying AI models or compute.

2. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us promptly at security@stipend.dev if you suspect unauthorized access.

3. Customer Data

You retain all rights to data you provide to Stipend ("Customer Data"). We process Customer Data solely to provide and improve the service, as described in our Privacy Policy. We do not access, store, or log the content of AI prompts or completions passing through our gateway.

4. Acceptable Use

You agree not to:

  • Use the service to violate any law or the acceptable use policies of your connected AI providers
  • Attempt to circumvent budget limits, access controls, or other enforcement mechanisms
  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Resell or redistribute access to the service without written authorization

5. Billing and Payment

Fees are based on the number of active employees with Stipend allocations, billed monthly or annually as specified in your plan. You are responsible for all fees incurred during each billing period. Fees for AI provider usage are billed separately by those providers or passed through at cost if using Stipend's resale layer.

6. Service Level

We target 99.9% uptime for the Stipend gateway. Scheduled maintenance windows are communicated at least 48 hours in advance. Enterprise customers may negotiate custom SLAs with defined remedies.

7. Limitation of Liability

To the maximum extent permitted by law, Stipend's total liability arising out of or related to these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data.

8. Indemnification

You agree to indemnify Stipend against claims arising from your use of the service, your violation of these Terms, or your violation of any third-party rights, including the terms of your AI provider agreements.

9. Termination

Either party may terminate these Terms with 30 days written notice. We may suspend access immediately if we reasonably believe you are violating these Terms. Upon termination, we will make your data available for export for 30 days, after which it will be deleted.

10. Changes to Terms

We may update these Terms from time to time. We will notify account administrators of material changes via email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
